These Terms of Service ("Terms") constitute a legally binding agreement between LUCASMETA Ltd., a Delaware corporation ("Company," "we," "us," or "our"), and you ("User," "you," or "your") regarding your access to and use of the Nyx-One platform, including its AI-powered design tools, integrated editors, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. ELIGIBILITY AND ACCOUNT
1.1 Eligibility: You must be at least 18 years of age to use the Service. By using Nyx-One, you represent and warrant that you have the legal capacity to enter into this agreement.
1.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at help@lucasmeta.info of any unauthorized use or security breaches.
2. SUBSCRIPTIONS AND PAYMENTS
2.1 Payment Processor: We use Stripe, Inc. ("Stripe") as our third-party payment processor. By subscribing to the Service, you agree to be bound by Stripe’s Services Agreement and Privacy Policy.
2.2 Automatic Renewal: Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing cycle.
2.3 Refund Policy: Nyx-One follows Stripe’s standard operational refund guidelines. Generally, fees are non-refundable for the current billing period once the Service has been accessed or used. Refund requests are evaluated on a case-by-case basis at our sole discretion.
3. AI SERVICES AND GOOGLE CLOUD GEN AI
3.1 Third-Party Provider: Nyx-One utilizes Google Cloud Generative AI models. By using the Service, you agree to comply with Google’s Generative AI Prohibited Use Policy.
3.2 Nature of AI Output: You acknowledge that the Output is generated by machine learning. Due to the nature of such technology, Output may not be unique across different users, and the Company does not warrant the accuracy, completeness, or reliability of any Output.
4. CONTENT AND INTELLECTUAL PROPERTY
4.1 Input Content: You retain all ownership rights to the data, text, or images you upload to the Service ("Input"). You grant the Company a worldwide, non-exclusive, royalty-free license to use, host, and store your Input solely to provide, maintain, and improve the Service.
4.2 Output Content: Subject to your compliance with these Terms and full payment of applicable fees, the Company hereby assigns to you all its right, title, and interest in and to the designs and text generated by the AI based on your Input ("Output").
4.3 Edited Content: Nyx-One provides an integrated Editor Tool allowing you to modify Output. You own the specific modifications made by you ("Edited Content"). You are solely responsible for ensuring that Edited Content does not infringe upon any third-party rights.
4.4 Copyright Disclaimer: You acknowledge that the legal landscape regarding AI-generated works is evolving. The Company does not guarantee that the Output or Edited Content will be eligible for copyright protection under U.S. or international law.
5. PROHIBITED CONDUCT
You agree not to use the Service to:
Generate content that is illegal, defamatory, obscene, pornographic, or promotes violence or discrimination.
Infringe upon the intellectual property, privacy, or publicity rights of others.
Deceive others via the creation of deepfakes, misinformation, or impersonation.
Reverse engineer, decompile, or attempt to extract the underlying AI models or source code.
Use the Service to train or develop competing machine learning models.
Automate the use of the Service (e.g., via bots or scraping) without express authorization.
6. DMCA POLICY (COPYRIGHT COMPLIANCE)
If you believe that any content on the Service infringes your copyright, please notify our Copyright Agent at help@lucasmeta.info. Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the infringing material; and (d) your contact information.
7. DISCLAIMERS AND LIMITATION OF LIABILITY
7.1 "As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW, LUCASMETA LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
8. INDEMNIFICATION
You agree to indemnify and hold harmless LUCASMETA Ltd. and its officers, directors, and employees from any claims, damages, or expenses (including attorney's fees) arising out of your Input, your Edited Content, your use of the Service, or your violation of these Terms.
9. EXPORT CONTROL
You represent and warrant that you are not (a) located in a country that is subject to a U.S. Government embargo (e.g., North Korea, Iran, Syria), or (b) listed on any U.S. Government list of prohibited or restricted parties.
10. DISPUTE RESOLUTION AND ARBITRATION
10.1 Governing Law: These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
10.2 Binding Arbitration: Any dispute arising out of these Terms shall be resolved through binding arbitration in the State of Delaware in accordance with the rules of the American Arbitration Association (AAA).
10.3 Class Action Waiver: YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
11. MODIFICATIONS
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date or via email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
